Real Person Commercial Enterprise

A person who operates a commercial enterprise, even partially, on his own behalf is called a merchant (TTK article 12).

The trade name of the real person trader consists of his/her name and surname written without abbreviation (TTK article 41). Additions can be made to the name and surname in accordance with Article 46 of the Turkish Commercial Code. In the title; Plural suffixes, names of other persons and foreign words that will create the impression of a partnership should not be used (TTK art. 46/2 and Trade Registry Regulation art. 44).

In cases involving the business owner’s capacity, such as being under custody or guardianship or having a legal advisor appointed to him/her; This situation and who the parent, guardian or legal advisor is are recorded. In case these situations occur later, the same provision applies (Commercial Registry Regulation article 50/2).

In the petition; The title of the business, its capital, the date of opening of the business and the subject of its actual activity on this date should be clearly shown together with the NACE code, and it should be written that this information is correct, and if it is determined otherwise, the responsibility belongs to the person who signed the petition (Trade Registry Regulation article 24).
In the petition; If any, the representative’s name, surname, place of residence, identification number and scope of representation authority should be clearly written.
The petition must also include the fact that books are kept on a balance sheet basis and the information about the books kept.

2-) Chamber Registration Declaration

It must be signed by the trader and there must be a photograph of the trader.
It is not possible to choose the same trade name used by another real person. The specified NACE code must be the same as entered from MERSİS.
3-) Signature declaration of the business owner or, if any, the person authorized to represent (Trade Registry Regulation article 49/1-b).
If the business owner or the person authorized to represent, if any, has a new identity and gives approval using the “Authorization Acceptance Procedures” module in MERSİS, there is no need to submit a physical signature declaration.

5-) If the business owner is a foreign national, a translated notarized passport copy, and if he resides in Turkey, a notarized residence permit and a tax identification number obtained from the tax office.

6-) In the establishment of a real person business, the working capital for Chamber records must be stated as at least 100 TL.

Additionally, the following points should be taken into consideration:

2-) In accordance with the instruction of the General Directorate of Domestic Trade of the Ministry of Customs and Trade dated 25.01.2013 and numbered 544, registration requests are taken into consideration after the tax plate information for the registration of sole proprietorships is checked. For this reason, a photocopy of the tax plate will be requested in the registration applications of sole proprietorships, and the registration of sole proprietorships that are determined to be registered with the tax office after the electronic environment control will be carried out.

3-) In addition to hairdresser and barber activities of real person businesses (sole businesses), manicure – pedicure salon, skin care, hair design; Activities such as coffee house management, marketing, grocery store etc. Since issues such as these are tradesmen’s activities, they cannot be registered with the Trade Registry or registered with the Chamber of Commerce.

4-) Real person business registration is not registered for private construction activities for personal needs.

5-) Real person commercial enterprises that do not keep books in accordance with the balance sheet procedure are not registered in the trade registry.
